2. Scope and Subject Matter
These Terms of Service ("Terms") govern all purchases of digital goods made through the WGST Store at store.wgst.at ("Store"). By placing an order, you ("Customer") agree to be bound by these Terms.
The Store sells exclusively digital goods, including but not limited to GPU compute credits, compute sessions, and digital vouchers. No physical goods are offered or shipped.
3. Products and Digital Delivery
All products offered through the Store are digital goods. Upon successful completion of payment, delivery of the digital content begins immediately. Digital credits and vouchers are provisioned to the applicable third-party service promptly after payment confirmation.
The specific product description, scope of use, and any applicable limitations are displayed on the respective product page at the time of purchase.
4. Contract Formation
The presentation of products in the Store constitutes a non-binding invitation to the Customer to submit an offer to purchase. A binding contract is formed when the Customer completes the checkout process and payment is successfully processed. The Customer receives an order confirmation by email.
5. Prices and Payment
All prices are displayed in US Dollars (USD). Applicable value-added tax (VAT) is calculated and applied automatically by Stripe Tax based on the Customer's country of residence and is shown during checkout before payment is confirmed.
Payment is processed exclusively by Stripe, Inc. ("Stripe"). The Customer's payment data (e.g., credit card details) is collected and processed directly by Stripe. The Seller does not receive, access, or store full payment card details. The available payment methods are those offered by Stripe at checkout.
The Customer is responsible for any currency conversion fees or charges imposed by their bank or payment provider.
6. Right of Withdrawal — Waiver for Digital Content
Important notice regarding your right of withdrawal:
Under EU Directive 2011/83/EU and the Austrian Consumer Protection Act (Konsumentenschutzgesetz, KSchG), consumers generally have a 14-day right of withdrawal for contracts concluded at a distance.
However, pursuant to Article 16(m) of EU Directive 2011/83/EU (as implemented in Austrian law under Section 18(1)(11) FAGG), the right of withdrawal does not apply to contracts for the supply of digital content which is not supplied on a tangible medium, where:
- Performance has begun with the consumer's prior express consent, and
- The consumer has acknowledged that they thereby lose their right of withdrawal.
By completing a purchase in the Store, you expressly consent to the immediate delivery of digital content and acknowledge that you waive your right of withdrawal once the digital content has been delivered (i.e., once credits or vouchers have been provisioned).
7. Refund Policy
Due to the nature of the digital goods sold and the withdrawal waiver described in Section 6, refunds are generally not available once digital content has been delivered (i.e., credits or vouchers have been provisioned to the third-party service).
In cases where delivery has failed due to a technical error on our part, or where the Customer has been charged but no digital content was provisioned, the Customer may contact us at [email protected] to request a resolution, which may include re-delivery or a refund at our discretion.
8. Digital Credits and Vouchers
Digital credits and vouchers purchased through the Store are:
- Non-transferable — they may not be resold, exchanged, or transferred to third parties.
- Non-exchangeable — they cannot be converted to cash or other forms of payment.
- Subject to the terms and conditions of the applicable third-party service through which they are redeemed.
Any expiration dates, usage limits, or service-specific restrictions are described on the respective product page. The Seller is not responsible for changes to third-party service terms that may affect the usability of purchased credits.
9. Third-Party Services
Digital credits are provisioned to third-party service providers after payment. The use of those third-party services is governed by their respective terms of service and privacy policies. The Seller acts as a reseller or intermediary and is not responsible for the availability, performance, or conduct of third-party services.
10. Limitation of Liability
The Seller's liability is limited to the extent permitted by Austrian law. In particular:
- The Seller is liable for damages caused by intent (Vorsatz) and gross negligence (grobe Fahrlässigkeit) without limitation.
- Liability for slight negligence (leichte Fahrlässigkeit) is excluded except for personal injury, where mandatory statutory provisions apply.
- The Seller is not liable for indirect, incidental, or consequential damages, including but not limited to lost profits, data loss, or business interruption, to the extent permitted by law.
- The Seller's total aggregate liability for any claim arising from or relating to a purchase shall not exceed the purchase price paid by the Customer for the specific product in question.
- The Seller is not liable for outages, disruptions, or changes to third-party services to which digital credits are provisioned.
Nothing in these Terms excludes or limits liability that cannot be excluded or limited under applicable Austrian or EU law, including mandatory consumer protection provisions.
11. Governing Law and Jurisdiction
These Terms are governed by and construed in accordance with the laws of the Republic of Austria, excluding its conflict of law provisions and excluding the United Nations Convention on Contracts for the International Sale of Goods (CISG).
The exclusive place of jurisdiction for all disputes arising from or in connection with these Terms is Salzburg, Austria. This does not affect mandatory statutory provisions regarding jurisdiction that may apply to consumers under EU law, in particular the consumer's right to bring proceedings in the courts of their place of domicile.
12. Online Dispute Resolution
The European Commission provides a platform for online dispute resolution (ODR) which is available at: https://ec.europa.eu/consumers/odr
We are neither obligated nor willing to participate in dispute resolution proceedings before a consumer arbitration board. However, we are committed to resolving any concerns directly. Please contact us at [email protected].
13. Severability
If any provision of these Terms is held to be invalid, illegal, or unenforceable, the remaining provisions shall continue in full force and effect. The invalid provision shall be replaced by a valid provision that most closely reflects the economic purpose of the invalid provision.
14. Amendments
The Seller reserves the right to amend these Terms at any time. The amended Terms will be published on this page with an updated effective date. Orders placed before the amendment are governed by the Terms in effect at the time of the order.
